TERMS AND CONDITIONS OF SALE – PRODUCTS AND SERVICES
These Terms and Conditions of Sale (“Terms”) govern the sale of all products (“Products”) and services (“Services”) by MPD Scientific (“Seller”) to the purchaser (“Buyer”). Buyer’s acceptance of Products or Services constitutes acceptance of these Terms. Any additional or conflicting terms proposed by Buyer are expressly rejected unless agreed to in writing by Seller.
1. ORDERS & ACCEPTANCE
All orders are subject to acceptance by Seller. Seller reserves the right to reject or cancel any order prior to shipment. These Terms constitute the entire agreement between Seller and Buyer and supersede all prior communications.
2. PRICING & PAYMENT
Prices are subject to change without notice and are valid only for the period stated on Seller’s quotation. Payment terms are net thirty (30) days from invoice date unless otherwise stated. Seller reserves the right to require advance payment. Buyer is responsible for all applicable taxes, duties, and fees.
3. SHIPPING, TITLE & RISK OF LOSS
All Products ship FCA Seller’s shipping point unless otherwise stated. Title and risk of loss pass to Buyer upon delivery to the carrier. Shipping dates are estimates only. Seller is not liable for delays beyond its reasonable control.
4. RETURNS & RETURN GOODS AUTHORIZATION (RGA)
4.1 RGA Requirement
All returns require prior written authorization and issuance of a Return Goods Authorization (RGA) number. Buyer must request an RGA within seven (7) days of receipt of the Product.
Returns sent without an RGA will be refused and returned at Buyer’s expense.
4.2 Return Eligibility
If authorized, Products must be returned within thirty (30) days of delivery and must meet all of the following conditions:
Unused, uninstalled, unpowered, and unmodified
In original packaging with all accessories, manuals, cables, and documentation
Free from damage, wear, contamination, or signs of use
In resalable condition as determined solely by Seller
Seller reserves the right to inspect all returned Products.
4.3 Non-Returnable Items
The following are non-returnable and non-refundable:
Custom, special-order, or made-to-order Products
Products that have been installed, used, calibrated, powered on, or altered
Consumables, accessories, spare parts, or clearance items
Sale or discounted items
5. RESTOCKING FEES & SHIPPING COSTS
All authorized returns are subject to a restocking fee of up to 25%, depending on Product type and condition.
Buyer is responsible for all return shipping costs, insurance, taxes, and duties. Original shipping charges are non-refundable.
Incomplete or damaged returns may be rejected or subject to additional charges.
6. DAMAGED, DEFECTIVE, OR INCORRECT PRODUCTS
Buyer must inspect Products immediately upon receipt. Any claims for damage, defects, or incorrect shipment must be reported within forty-eight (48) hours of delivery. Failure to notify Seller within this timeframe may result in denial of the claim. Documentation may be required.
7. CANCELLATIONS
Orders may not be cancelled once in process without Seller’s written consent. Approved cancellations may be subject to cancellation fees, restocking fees, or charges for costs incurred by Seller.
8. REFUNDS
Refunds, if approved, will be issued to the original payment method after inspection and approval of the returned Product. Processing may take up to 10 business days after approval. Refund amounts may be reduced by restocking fees, shipping charges, or damage.
9. WARRANTY DISCLAIMER
Except as expressly stated in a written warranty issued by Seller, Products and Services are provided “AS IS”. Seller disclaims all other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.
10. LIMITATION OF LIABILITY
Seller’s total liability shall not exceed the purchase price paid for the Product giving rise to the claim. In no event shall Seller be liable for indirect, incidental, consequential, or special damages, including loss of profits or data.
11. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles.
12. FINAL AUTHORITY
Seller reserves the right to update these Terms at any time. The version in effect at the time of order shall apply.
